NEWARK, N.J., February 29, 2016 - Prudential Financial, Inc. (NYSE:PRU) announced today that Inversiones La Construcción S.A. (“ILC”), the investment subsidiary of the Chilean Construction Chamber, has published a notice of results of the previously announced tender offer by a subsidiary of ILC to acquire outstanding shares of Administradora de Fondos de Pensiones Habitat S.A. (AFP Habitat), a leading provider of retirement services in Chile that trades under the symbol HABITAT CI on the Santiago Stock Exchange. According to the notice, 143,879,555 shares of AFP Habitat were tendered in the tender offer, representing 14.39% of its total issued and outstanding shares. However, only 131,015,503 shares of AFP Habitat will actually be acquired, equal to the maximum number of shares covered by the offer. The full notice of results of the tender offer can be found in ILC’s website at http://www.ilcinversiones.cl/inv_opa_afp_habitat.aspx and http://www.ilcinversiones.cl/inv_opa_afp_habitat_en.aspx.

Based on these results, Prudential’s previously announced proposed acquisition of an indirect ownership interest in AFP Habitat from ILC will result in Prudential acquiring indirectly approximately 40 percent of AFP Habitat. Prudential will acquire such interest for 899.90 Chilean Pesos per share, for a total purchase price of approximately US$521 million at current exchange rates.
